Aramco has completed its acquisition of a 49% stake in AI company HUMAIN, contributing approximately 9.9 billion Saudi riyals ($2.6 billion) in cash during 2026 along with AI, compute, and digital assets1,2,3.
PIF, the Saudi sovereign wealth fund, retains the remaining 51% stake in HUMAIN, which holds its Aramco interest through a wholly owned subsidiary.
The closing formalizes a non-binding term sheet signed by PIF and Aramco on October 28, 2025, which outlined plans to combine their AI assets, capabilities, and talent under HUMAIN, with PIF retaining majority ownership. HUMAIN launched in May 2025, and Aramco had been planning a significant minority stake for at least a year before the deal closed.
A joint statement from the two parties said the transaction "will further accelerate Humain's growth and advance its full range of AI capabilities globally, with PIF and Aramco contributing AI assets, capabilities, and talent". The statement added that the Aramco stake "supports Humain's rapid scaling to meet growing regional and global demand for AI compute".
HUMAIN is planning to deploy three gigawatts of AI data center capacity by 2030. The company is also working on infrastructure and cloud platforms and has developed an Arabic-language large language model. The transaction is intended to accelerate HUMAIN's ambition to build an integrated AI ecosystem spanning data centers, high-performance compute, advanced models, applications, and industry solutions.
ANALYSIS The deal's structure — PIF at 51%, Aramco at 49% — keeps sovereign-fund control over HUMAIN while locking in one of the world's largest companies by market capitalization as a capital and asset contributor. The three-gigawatt data center target would place HUMAIN among the larger planned AI infrastructure buildouts globally if realized on schedule.
