Marvell bets $115B on Lumentum to build full-stack AI optical connectivity

Enterprise value of approximately $115 billion, including debt, in an all-stock transaction.

Marvell Technology has agreed to acquire Lumentum Holdings in an all-stock transaction valued at approximately $115 billion, including debt, in what Bloomberg called one of the biggest tech deals ever and 2026's largest M&A transaction1,5.

Under the terms announced on November 2, 2026, Lumentum stockholders will receive 4.500 shares of Marvell common stock for each Lumentum share, implying a price of approximately $1,132 per share2,6. That represents a premium of roughly 23.9% over the unaffected closing prices of both companies on October 28, 20263. Lumentum's stock had already risen 128% year-to-date, giving it a market capitalization of approximately $76 billion.

Existing Marvell shareholders are expected to own approximately 67% of the combined company on a fully diluted basis, with Lumentum shareholders holding the remaining 33%. The companies expect the deal to close in the first half of 2028, subject to shareholder and regulatory approval.

Optical connectivity as the thesis

"AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation," Marvell CEO Matt Murphy said in a release. The companies said the combination addresses increasingly complex connectivity requirements as AI systems move beyond copper-based architectures toward optical technologies.

Marvell brings capabilities in electrical and optical interconnects, network switching, custom XPUs, XPU connectivity, advanced semiconductors, and silicon photonics. Lumentum adds high-performance lasers, optical transceivers, optical circuit switching, and compound semiconductor manufacturing. Together, the companies expect to create a full-stack connectivity portfolio spanning scale-across, scale-out, scale-up, and scale-in architectures.

The combined company projects a total addressable market of $550 billion. Marvell expects more than $1 billion in annual run-rate cost synergies and said the deal is expected to be accretive to Marvell non-GAAP earnings per share in the first year after closing.

Broadcom rivalry and Nvidia's role

Reuters characterized the deal as a direct challenge to Broadcom, a larger chip company that already sells many AI data center building blocks under one roof4. Marvell has been growing quickly in AI infrastructure, including an August agreement to supply companion chips for Google's AI processors that could be worth up to $120 billion in sales through fiscal 2033, according to Reuters.

Nvidia invested $2 billion in each company in 20268. Reuters reported that executives expect AI-driven demand for optical links to outstrip supply for years.

Marvell shares were up about 1% in premarket trading on November 2, though they had fallen the prior week after Bloomberg reported on a potential combination. Lumentum's stock was up more than 2%.

ANALYSIS The deal consolidates electrical and optical AI connectivity under a single vendor at a moment when data center operators face acute supply constraints in optical components, positioning the combined entity to compete with Broadcom on breadth of offering.
